North Base Solutions Terms of Service

1. Acceptance of Terms

3. Website Development Services

North Base Solutions will develop websites based on information, assets, and content supplied by the client.

The client is responsible for reviewing all content, imagery, contact information, disclosures, and functionality prior to launch.

Website completion timelines are estimates and may vary based on project complexity, client responsiveness, third-party services, or unforeseen circumstances.

4. Client Responsibilities

Clients agree to:

• Provide accurate information.
• Supply required content and assets.
• Review work provided by North Base Solutions.
• Ensure all submitted content is lawful and owned or licensed by the client.
• Obtain any required regulatory approvals.

Delays caused by missing information or approvals may impact project timelines.

5. Content Ownership

Clients retain ownership of content, logos, trademarks, and materials they provide.

North Base Solutions retains ownership of proprietary systems, templates, workflows, custom processes, internal documentation, and any intellectual property not expressly transferred in writing.

Unless otherwise agreed in writing, North Base Solutions may display completed projects within its portfolio and marketing materials.

6. Third-Party Services

North Base Solutions utilizes third-party platforms and services including, but not limited to:

• Hostinger
• WordPress
• Elementor
• Google services
• Analytics platforms
• CRM platforms
• Booking platforms
• Marketing automation tools
• Third-party plugins

We are not responsible for outages, disruptions, policy changes, pricing changes, vulnerabilities, or service interruptions caused by third-party providers.

7. Hosting Services

Hosting services are provided through third-party infrastructure providers.

While we strive to maintain reliable hosting services, we do not guarantee uninterrupted availability, uptime, speed, performance, or security.

Scheduled maintenance, software updates, infrastructure failures, cyberattacks, and provider outages may impact service availability.

8. Website Security

North Base Solutions implements reasonable security measures; however, no website, server, software platform, or internet-based service can be guaranteed to be completely secure.

Clients acknowledge that:

• Cyberattacks may occur.
• Unauthorized access may occur.
• Data breaches may occur.
• Service interruptions may occur.

North Base Solutions shall not be liable for damages resulting from such events unless required by applicable law.

9. Revisions & Change Requests

Revision requests must be submitted through approved communication channels.

North Base Solutions reserves the right to determine whether requested changes fall within the original project scope.

Additional costs may apply for:

• Significant redesigns
• New functionality
• Additional pages
• Expanded project scope
• Custom development requests

10. SEO & Marketing Disclaimer

Search engine rankings, lead generation results, advertising performance, website traffic, and business outcomes cannot be guaranteed.

North Base Solutions makes no guarantees regarding:

• Google rankings
• Search visibility
• Lead volume
• Revenue generation
• Conversion rates
• Business growth

Results vary based on numerous factors beyond our control.

11. Compliance Responsibility

Clients remain solely responsible for ensuring their website content, disclosures, products, services, and marketing activities comply with:

• Federal laws
• Provincial laws
• Regulatory requirements
• Industry-specific compliance obligations
• Dealer, brokerage, MGA, or employer requirements

North Base Solutions does not provide legal, financial, compliance, tax, or regulatory advice.

12. Payments & Billing

All invoices are due according to agreed payment terms.

Failure to make payment may result in:

• Service suspension
• Website suspension
• Project delays
• Termination of services

Late payments may be subject to additional fees where permitted by law.

13. Termination

North Base Solutions reserves the right to suspend or terminate services for:

• Non-payment
• Abuse
• Fraudulent activity
• Violation of these Terms
• Illegal activity
• Security risks

Clients may terminate services according to their service agreement.

14. Limitation of Liability

To the maximum extent permitted by law, North Base Solutions shall not be liable for:

• Lost profits
• Lost revenue
• Business interruption
• Data loss
• Indirect damages
• Consequential damages
• Special damages
• Incidental damages

Total liability shall not exceed the amount paid by the client to North Base Solutions during the preceding twelve (12) months.

15. Indemnification

Clients agree to indemnify and hold harmless North Base Solutions, its owners, employees, contractors, affiliates, and partners from any claims, liabilities, damages, costs, or expenses arising from:

• Client content
• Client conduct
• Regulatory violations
• Intellectual property disputes
• Misrepresentations
• Use of services

16. Force Majeure

North Base Solutions shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, cyberattacks, government actions, labor disputes, or infrastructure failures.

17. Changes to These Terms

North Base Solutions may update these Terms at any time. Continued use of services constitutes acceptance of updated Terms.

18. Governing Law

These Terms shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
